The actress is said to be worried that her role in the Mustan brothers' update is "not substantial enough".
A source told the Mumbai Mirror: "Gone are the days when she signed films opposite big heroes without bothering about her role. Today, Katrina is very particular about her roles too."
According to the newspaper, Saif Ali Khan's decision to withdraw from the project has also made her reluctant to take part.
The remake of the Michael Caine crime caper has been in the planning stages since December 2008.
Priyanka Chopra was rumoured to have been fired from the cast after a falling out with prospective co-star Abhishek Bachchan.
Other actors linked to the movie so far include Neil Nitin Mukesh, Kunal Kapoor and Akshaye Khanna.
