The DC Comics issue, which features the first appearance of Superman, was auctioned through ComicConnect for $2,161,000 (£1,378,000).
The mint-condition 1938 title fulfilled expectations by beating the previous sales record of $1.5 million (£960,000).
"The buyer was extremely excited about the prospect of bidding on this," ComicConnect COO Vincent Zurzolo told Comic Riffs.
"I think he had an adrenaline rush for the last two hours."
The comic was stolen in 2000 and discovered in a storage locker in Los Angeles earlier in the year.
Jerry Siegel and Joe Shuster's comic originally sold for 10 cents (6p).
About 100 copies are thought to exist, but only a few of those are in good condition.
