Guardian Media Group is reportedly in talks with private equity firm Apax Partners about a joint bid for Emap.
According to the Telegraph, GMG is most interested in Emap's radio business which includes the brands Kiss and Magic, and some of its business titles which include Broadcast and Screen International.
GMG and Apax are already linked in publishing after Apax acquired a 49% in GMG's Trader Media Group - which includes Autotrader - for £674 million earlier this year.
If the deal were to proceed the joint owners to could look to sell off the consumer publishing arm, which includes Heat, Grazia and FHM, according to the publication.
Carloyn McCall, GMG chief executive, said: "We are not going on a spending spree, but we are actively looking at acquisitions. All our businesses are completely oriented to the UK economy and they are all advertising driven. So we would like to diversify from that core."
McCall indicated that the company had looked at Emap, but if a deal went ahead it would not wish to buy the whole business, adding: "There are parts we will certainly be looking at."
