Cohen will play the famous Baker Street detective, with Ferrell taking on the role as his sidekick Watson. Judd Apatow and Jimmy Miller will produce the film with Etan Cohen (Tropic Thunder) on scripting duties.
Columbia's Matt Tolmach said: "Just the idea of Sacha and Will as Sherlock Holmes and Watson makes us laugh.
"Sacha and Will are two of the funniest and most talented guys on the planet, and having them take on these two iconic characters is frankly hilarious."
The comedy pair previously appeared together in 2006's Talladega Nights.
The untitled Columbia project could arrive the same year as Guy Ritchie's action-orientated Holmes film, which is in the pipeline at Warner Bros.
