According to The Sun, the Transformers actress will play the role in Christopher Nolan's sequel to The Dark Knight, which it claims will begin shooting next year.
The part has previously been played by Michelle Pfeiffer in 1992's Batman Returns and Halle Berry in 2004's Golden Raspberry-winning Catwoman.
Kate Beckinsale and Angelina Jolie have both been linked to the role in recent months.
However, screenwriter David Goyer last year denied suggestions that The Penguin or Catwoman would definitely feature in the third Batman movie since the series reboot.
He told Slashfilm: "There are dozens if not hundreds of other characters that fit that bill. Everyone says its gotta be The Penguin or Catwoman... well I completely disagree."
