The Rambo star is in talks with John Gotti Jr about the project, which would examine the life of the mob boss who died in prison in 2002, reports TMZ.
The proposed film would be based on Gotti Jr's recollections of his father and their relationship.
Stallone's The Expendables opens August 13 in US cinemas.
