The legendary comics creator also detailed the scene in which he will make his appearance, and described it as his best cameo yet.
"There's a big battle going on with Spider-Man and the Lizard in a library," Lee told a panel at the 2011 Dallas Comic-Con. "I'm the librarian. I'm stamping books and I have earphones on.
"And this life and death battle is going on behind me! I look so dumb. This one is genius."
Lee, who has made cameo appearances in many Marvel Comics films over the years, also clarified why he won't appear in next month's X-Men: First Class.
"I didn't get one for the X-Men. They didn't call me," Lee revealed "Maybe because they shot most of it out of the country and I didn't want to travel."
The new Spider-Man film stars Andrew Garfield as Peter Parker/Spider-Man, Rhys Ifans as Dr Curt Connors/The Lizard and Emma Stone as Gwen Stacy.
The Amazing Spider-Man is scheduled for release on July 3, 2012.
