The film will centre on the trouble caused by a woman who decides to go along to a stag party weekend with her male friends, Variety reports.
Memoir writer and journalist Sascha Rothchild sold the comedy to DreamWorks for an undisclosed six-figure sum. The project does not yet have a director or script attached.
Rothchild is expected to pen the comedy "in the spirit of Bridesmaids".
The new hen party comedy has surpassed the $100 million (£61 million) mark at the US box office.
Witherspoon has producing credits on the upcoming This Means War and Pharm Girl.
She received the MTV 'Generation Award' for her achievements in acting last week and was honoured by Water for Elephants co-star Robert Pattinson.
