The actor would be joining Adrianne Palicki, Dwayne 'The Rock' Johnson and Channing Tatum, who will reprise his titular role from GI Joe: The Rise of Cobra.
Willis is expected to play General Joe Colton, who put together the first GI Joe strike force, according to The Hollywood Reporter.
The second film will be directed by Jon Chu, who has previously helmed Justin Bieber: Never Say Never and the two Step Up films.
Willis has most recently committed to Die Hard 5, where he will be seen foiling a terrorist plot in Russia alongside his adult son.
Attack the Block director Joe Cornish is in contention to direct the fifth film in the action franchise, alongside Justin Lin and John Moore.
Willis is also currently working on the sequel to The Expendables and video game adaptation Kane & Lynch with Jamie Foxx.
In October, he gave his tips for being a successful action hero on film.
Willis said: "You have to be a good friend, loyal and kind to animals. And kind to the director. You have to be brave and be able to cry on camera."
