HanWay Films will unveil the project, which is based on a screenplay by Megan Holley, to buyers at the Berlinale this week.
The Darkness will cast Winstead as an American student acting as a babysitter for her tutor's offspring, who comes to believe that she and the children are haunted following a series of unexplained events.
Occupant Entertainment's Joe Neurauter and Felipe Marino and Management 360's Ben Forkner will produce the film, with XYZ Films executive producing.
Winstead recently appeared in Matthijs van Heijningen Jr's The Thing prequel, and will star in the upcoming Abraham Lincoln: Vampire Hunter with Benjamin Walker, Anthony Mackie and Dominic Cooper.
The Darkness is scheduled to begin shooting in Europe this summer.
