The Descendants star said that she is relishing the opportunity to work with director Mark Webb and co-stars Andrew Garfield and Emma Stone.
"Spider-Man's always been my favourite superhero since I was a little girl," she told MTV. "I always thought there was something special about flying. When I watched the previous Spider-Man with Andrew Garfield, he made me feel invincible.
"I also cried when Uncle Ben died. I knew it was coming, and I still cried! I think Marc Webb is amazing. I'm so stoked to work with Andrew and Emma. They're the best of the best."
Woodley went on to say that she "assumes" she will be dying her hair red for the movie, but will not know for certain until shooting dates are confirmed.
Garfield and Stone will reprise their roles of Peter Parker and Gwen Stacey in the sequel, while Dane DeHaan and Jamie Foxx will join the series as Harry Osborn and Electro respectively.
The Amazing Spider-Man sequel arrives in theatres on May 2, 2014.
