Brookland Media took out the $2.5 million (£1.5 million) suit against the star at Manhattan's Supreme Court on Tuesday.
According to the lawsuit, the rapper did not deliver promised material, despite hundreds of thousands of dollars being spent on equipment and advance payments.
It also claimed that Lil' Kim tried to change the contract and refused to continue recording unless Brookland agreed, resulting in only a few tracks being completed by early September.
Jamaican artist Tanya Stevens sued the singer over plagiarism of lyrics in 2006.
