The concert, which had a lineup including Jon Bon Jovi, Black Eyed Peas, Roger Waters and will.i.am, was intended to highlight the global economic crisis.
Organisers said they were forced to cancel the show "due to circumstances far beyond our control". Refunds will be issued from next week.
A statement read: "Everyone involved with Live Earth India is stunned and saddened by the tragic events of the past few days in our host city Mumbai. We always felt very welcomed and safe as we spent more time on the ground in Mumbai to finalise plans."
The attacks have claimed the lives of nearly 200 people, while another 300 were injured.
