Executives at Columbia Records have denied that the 'Halo' singer agreed to perform at the M2 club in New York last Saturday.
The singer is facing a $1 million (£666,600) lawsuit after venue manager Joey Morrissey insisted that she had accepted to sing at the event.
"Beyoncé never had a contract with the club itself and no-one in her camp dealt directly with the venue," the statement reads.
"The superstar was never scheduled to perform, but was to serve as a co-host and introduce singer-songwriter Solange's performance. Patrons were falsely promised a performance by Beyoncé."
Beyoncé was joined onstage by her rapper husband Jay-Z as she kicked off the latest leg of her 'I Am...' world tour in the city.
