The Guns N' Roses singer lodged the 28-page complaint in Los Angeles on Monday, E Online reports.
The document detailed Rose's accusations that Azoff conspired to force him into a reunion tour and says that the ex-manager "sabotaged" the band's last album, among others.
The action is said to be a counter-suit to one Azoff filed against the rocker earlier this year for $2m (£1.39m) in owed fees.
