The bands will join a lineup which also includes Arcade Fire and Neil Young. The annual event will take place at the Shoreline Amphitheatre in Mountain View, California.
Young has arranged the concert which will run from October 22 to 23. Further acts confirmed to play include Tony Bennett, Beck and Carlos Santana.
The proceeds accumulated from the shows will be donated to the Bridge School, founded by Young and his wife Pegi back in 1986.
The school helps children with severe physical impairments and complex communication needs.
Past performers at the gig include Paul McCartney, Elton John, Metallica and David Bowie.
Foo Fighters will start their North American tour on September 14 and recently unveiled a promotional tour video which sees the band in a comedy sketch showering together naked.
