It was reported yesterday that the former South African President was keen for the group to play one final gig in his honour following their announcement that shows in Toronto later this month will be their last.
However, they insisted that they had not yet been formally asked to take part in the event, which will take place in London's Hyde Park in June.
Mel C told Reuters: "We're great friends of Mr. Mandela and we would love to perform for him again."
Geri Halliwell added: "We were privileged enough to meet the man and he is just amazing. He's just an example of strength and humility and if we could be part of that, celebrating his life - wow."
The band first met Mandela eleven years ago when they visited his residence during a trip to South Africa to perform at a charity concert.
It is believed they were unable to accept an invitation to appear at his 89th birthday last summer as Emma Bunton was pregnant with son Beau.
