The reality TV star was "flattered" to be approached by producers, but turned down the deal after realising that she would have to work six days a week.
If she had accepted the offer, Hilton would have spent two months on Broadway before taking the production to London's West End.
"We did some dance rehearsals and everything. But then I found out the schedule, and it was six days a week for a couple of months," Hilton told MTV.com. "And they wanted me to go to London after New York.
"I was very flattered to be offered that role and I love Chicago but with my schedule and everything, there was no way I could fit it in."
Hilton recently revealed that she has been working on new music tracks with her boyfriend Benji Madden. Her debut solo album Paris was released in 2006.
