The 1984 image of the late singer will be shown at the British Music Experience at London's O2 - the venue of Jackson's cancelled residency - prior to its sale.
Vered Gallery partner Janet Lehr said: "This Andy Warhol portrait brings together the uncontested King Of Pop Art with the uncontested King Of Pop.
"The portrait was painted at the height of their careers and is a celebration of two of the great talents in global cultural history."
Warhol died in 1987 from cardiac arrhythmia following routine gallbladder surgery at New York Hospital.
The top price for a Warhol picture at auction is the $71.7 million (£42.9m) raised when his 1963 Green Car Crash (Green Burning Car I) was bought at Christie's in New York in 2007.
