Marvel Comics has granted a fifth rights extension to the producers of the Broadway show, who will work towards a November or December opening.
Green screen footage for the project has already been filmed and a flying workshop was held last week in Las Vegas. Set construction at New York's Hilton Theatre is also under way.
Directed by Julie Taymor, the production features music from U2 duo Bono and The Edge. It was previously reported that Jennifer Damiano has replaced Evan Rachel Wood as Mary Jane Watson, and newcomer Reeve Carney has been cast in the title role.
With estimated costs of $52m (£35m), Spider-Man: Turn Off the Dark is expected to be the most expensive Broadway musical in history.
