Buckingham Palace confirmed that the Rugby Union player had proposed to the Queen's eldest granddaughter at their home on Monday night.
A spokesperson added: "The Queen and the Duke of Edinburgh are delighted with the news."
Phillips, who is 12th in line to the throne, began dating Tindall when they met in 2003.
News of the engagement comes just weeks after Prince William and Kate Middleton announced that they will marry on April 29 next year.
