The singer dismissed the charity's board after they reportedly spent around $3.8 million (£2.4 million) on a school in Malawi that was never built.
According to WENN, Madonna is considering taking legal action against the directors, following their financial mismanagement.
A spokesperson told the New York Post's Page Six: "Raising Malawi is examining its legal options."
Philippe van den Bossche, the executive director of Raising Malawi, left his position in October. Representatives for Madonna's Kabbalah Centre criticised van den Bossche, stating that the failure was mainly due to his inattention to the charity.
They said: "Philippe's level of mismanagement and lack of oversight was extreme... and the lack of success of the players on the ground is in large part a result of his inability to effectively manage project plans, people and finances."
