The Celebrity Apprentice winner's lawsuit claims that he signed an agreement with promoter Willie Donwell to perform two concerts on a Shoreline cruise this fall for $750,000 (£460,659).
Shoreline allegedly agreed to pay Michaels through Donwell in a series of instalments, The Wrap reports.
Michaels says Donwell soon claimed he had health problems and abandoned the deal, leaving the musician to deal with Shoreline directly.
Shoreline apparently made an initial payment of $250,000 (£153,553), but soon asked the rocker to take a $400,000 (£245,685) pay cut due to poor advance ticket sales.
Michaels's legal filing accuses Shoreline of attempting "a fraudulent scheme" to get him to drop his fee. He is asking for Shoreline to pay damages, court costs and his attorney fees.
Shoreline declined to comment on the lawsuit.
