The pair arrived together at Elton John's AIDS Foundation screening party before separating briefly when Penn went to do an interview and Nemcova posed for photographers.
"Yes, we are friends. He is on the advisory board of my charity," Nemcova told People.
Penn separated from actress Robin Wright Penn last year with both citing "irreconcilable differences".
Penn was previously married to Madonna in 1985 but the couple divorced in 1989 after he was charged with domestic assault.
Supermodel Nemcova and James Blunt ended their 15-month relationship last year because both felt they weren't seeing enough of each other.
