Beat The Star will see members of the public compete against a celebrity for a £50,000 prize.
Each pairing will battle it out in a series of games ranging from physical and mental challenges to more off-beat tasks.
The eight-part series, co-produced by Diverse and Gallowgate Productions, is based on ProSieben's hit German format Schlag Den Raab (Beat Your Host).
Gallowgate Managing Director Ed Forsdick said: "Beat The Star has all the values of a traditional entertainment show. Alongside Diverse, we're delighted to be bringing it to air."
Kay, 33, will present the programme as part of a two-year golden handcuffs deal with ITV.
Beat The Star will air on ITV1 later this year.
