Waterman was one of the stars who appeared on Kay's Britain’s Got The Pop Factor And Possibly A New Celebrity Jesus Christ Soapstar Superstar Strictly On Ice.
Despite ratings success, the show has apparently not found favour with Cowell.
Waterman, 61, told the Sunday Mercury: "Simon isn't returning any of my phone calls. He's one of my best mates but he's fallen out with me. He doesn't have a sense of humour.
"I rang him so he could say, 'Your comedy acting is genius Pete'. But it seems he doesn't think it's at all funny, especially since Geraldine beat his act Leon in the charts."
'The Winner's Song', performed by Kay's fictional talent show winner Geraldine McQueen, finished ahead of Leon Jackson's comeback track 'Don't Call This Love' in the charts last weekend.
Cowell later claimed he liked the show, but found the single "pathetic".
