The pair will be on the female team hoping to please Sir Alan Sugar in the charity version of the TV hit.
Vorderman quit her job on Countdown earlier this year, and finishes filming next month. Phillips will leave the GMTV sofa on December 19.
A source told The Mirror: "Both have had plenty of offers but the only one they have taken so far is The Apprentice.
"They don’t have to go through Sir Alan's tough interviews but they have to impress him by raising cash for charity. It will be interesting to see Sir Alan going head-to-head with them in the boardroom. And Carol’s maths expertise should come in handy if the task involves sales."
Also linked to the charity show are Liz Hurley, Jonathan Ross and Alan Carr.
