According to The Hollywood Reporter, Scrubs duo Bill Lawrence and Kevin Biegel will write the project.
Cougar Town will focus on the life of newly-single attractive mother (Cox), who has a 17-year-old son.
Lawrence, who worked with Cox on Friends and three upcoming episodes of Scrubs, described the actress as "comedically fearless".
Speaking about the show, he said: "Forty-year-old women on TV are so beautiful and perfect and wrinkle-free.
"People don't do the reality of it, and there is a real comedy area about a woman who is talking about Botox, about having sex with the lights on and how her body is changing."
The show is expected to begin shooting in early 2009.
